Your first map should show TradingCo, Ubuntu Holdings and the trust as separate layers. Next, add the natural persons connected to the trust and any person who controls voting or appointments.

Trace trust beneficial ownership step by step

  • Read the trust deed and later amendments
  • Identify the founder, current trustees and named beneficiaries
  • Record who can appoint or remove trustees
  • Check who can direct distributions or exercise effective control
  • Trace the trust’s company interest through to TradingCo

Calculate indirect interests carefully

If an individual has a relevant interest through the trust, document how that interest reaches the operating company. Do not multiply percentages until you understand the legal and practical rights at each layer.

Also record control rights separately. A person can exercise effective control even when a simple ownership calculation appears below a percentage threshold.
